Corporate Governance
Our Board of Directors sets high standards for our employees, officers and directors, with an emphasis on sound corporate governance. It is the duty of our Board of Directors to serve as a prudent fiduciary for shareholders and to oversee the management of our business. To fulfill its responsibilities and to discharge its duty, our Board of Directors follows the procedures and standards that are set forth in the guidelines and policies below. These guidelines and policies are subject to modification from time to time as our Board of Directors deems appropriate in the best interests of our company or as required by applicable laws and regulations.

Henrik Rouf, Chief Executive Officer
Mr. Rouf has 30 years of experience in global financial markets, working as an investment banker and international financier. He currently advises public and private companies in various industries, including life sciences, AI, blockchain, and semiconductors, throughout North America, Europe, and India.
Prior to joining Nordicus Partners as Chief Executive Officer, Mr. Rouf was the President of PWP, Inc., a California-based merchant bank, from 2004 to 2023, where he ran the company’s overall investment banking practice. During this time, he also cofounded RocketFuel Blockchain, a global payment processing platform. From 1997 to 2004, he was the Managing Partner of Impact Capital and financed numerous micro-cap and small-cap companies. Mr. Rouf started his career in the U.S. in 1991 as an Institutional Broker for various brokerage houses in New York and San Francisco, including Wedbush.
Bennett J. Yankowitz, Chief Financial Officer & Board Member
Mr. Yankowitz has more than 40 years of experience as a corporate attorney with leading law firms, specializing in securities, financial and merger and acquisition transactions. He has also served as an executive in the real estate, oil and gas and precious metals mining sectors.
Besides being Nordicus Partners’ Chief Financial Officer as well as a Member of the company’s Board of Directors, he is of counsel to the law firm Shumaker Mallory LLP, and was previously of counsel to its predecessor firm Parker Shumaker Mills LLP. He was previously counsel to Kaye Scholer LLP and a partner of Heenan Blaikie and of Stroock & Stroock & Lavan LLP. From 2002 to 2014, Mr. Yankowitz was a director of Proteus Energy Corporation, a California-based private oil and gas production and development company and was its Chief Executive Officer from 2008 to 2014. He is currently chief executive officer of Gold Vault Capital, LLC, which focuses on resource recovery and environmental remediation in the precious metals mining sector. He is a member of the California and New York bars.

Peter Severin, Chairman
Mr. Severin brings over 25 years life sciences and sales experience to Nordicus’ Board. Mr. Severin is currently the Founder and CEO of Severin Partners, a Denmark-based sales and communications consulting company focusing on the healthcare industries. Prior to founding Severin Partners, Peter held positions as Head of Sales of Novartis AG, Sales Manager at AstraZeneca Pharmaceuticals and as Sales Manager of GSK Plc (formerly GlaxoSmithKline Plc).
Andrew Ritter, Member
Mr. Ritter is a seasoned healthcare executive with over two decades of leadership experience across biotechnology, digital health, and other healthcare technologies. He has successfully led multiple company exits, taken a company public on NASDAQ, and advised leading private equity and venture capital firms throughout the investment lifecycle.
He began his career as the founder and CEO of Ritter Pharmaceuticals, a microbiome-based biotech company. Over 17 years, he advanced the company from early-stage development through Phase III clinical trials, led its IPO onto the NASDAQ, and later merged the company with QualigenTherapeutics. Following that success, Mr. Ritter led a turnaround and successful exit of Docbot, an AI-driven MedTech company. He is currently an Entrepreneur in Residence at Khosla Ventures, and serves as CEO of portfolio company Cairns Health, an AI-powered remote care solutions to support Home and Senior Care.
He has also served as a founding board member of Myosin Therapeutics, a biotech spin-out from Scripps Research, where he helped secure the company’s initial financing and supported its early growth. Mr. Ritter holds a B.A. in Political Science from the University of Southern California and an M.B.A. from the Wharton School of the University of Pennsylvania.
Torben Jensen, Member
Torben Jensen has more than 35 years of experience in finance and has during the years developed and funded projects and companies in real estate, energy, venture, life science and medico. He has previously been CEO and Chairman of the Board of two listed companies on Nasdaq. From 2019 to 2024 he was a Senior Partner in GK Partners ApS, a corporate finance house and a major shareholder in Nordicus Partners Corporation, where he was the head of funding for projects. Furthermore, he has served as the Chief Executive Officer of AC Nordic since December 2024, also a major shareholder in Nordicus Partners Corporation.
Kim Mücke, Member
Kim T. Mücke is a Danish state authorized public accountant (authorization deposited in 2025). He was partner with Deloitte (Denmark) in the period 2002 to 2022 where he – among others – served as signing partner for various listed companies including companies that underwent IPO processes. In the years 2023-2024, Mr. Mücke was Head of Corporate Clients for BDO (Denmark). From 1 January 2025, Mr. Mücke has started as independent advisor, specialized in financial reporting, risk management and corporate governance. Mr. Mücke has a master’s degree in Auditing and Accounting from the Copenhagen Business School.
